LineItUp Platform Terms and Conditions

Welcome to LineItUp. These Terms and Conditions ("Terms") govern your access to and use of the LineItUp mobile application, website, and services (collectively, the "Platform"), which connects Users, Riders, and Vendor Stores for the purpose of ordering and delivering retail goods. By creating an account, accessing, or using the Platform, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity (such as a Vendor Store), you represent that you have the authority to bind that entity. If you do not agree to these Terms, you must not use the Platform.

1. Definitions

• "Platform" refers to the LineItUp mobile application, website, and all related backend services, dashboards, and technology.
• "User" means an individual who uses the Platform to browse stores, place orders for goods, and receive deliveries.
• "Rider" means an independent contractor who uses the Rider interface of the Platform to accept, pick up, and deliver orders.
• "Vendor" or "Store"  means a business entity that uses the Vendor interface to list products, manage inventory, and process orders received through the Platform. This includes all Sub-Accounts managed under a primary Vendor account.
• "Admin/Super Admin" refers to the platform operators with oversight and management capabilities as described in the technical proposal.
• "Content" includes all text, graphics, images, music, software, and information you provide or is generated through your use of the Platform.
• "Order" means a transaction where a User purchases goods from a Vendor for pickup and delivery by a Rider.

2. Account Registration and Security

You must create an account with accurate, current, and complete information. You are responsible for safeguarding your password and for all activities under your account. You must immediately notify us of any unauthorized use. You must be at least 18 years old to create an account.

3. Description of Services and Roles

The Platform is a marketplace technology provider. We do not own, sell, or deliver the goods ordered. We are not a party to the contract of sale between Users and Vendors, nor are we an employer of Riders.

• For Users: The Platform provides a tool to facilitate transactions. The Vendor is the seller of the goods. You agree to pay the total price displayed, which includes the item cost, any applicable taxes, a service fee to LineItUp, and a delivery fee. You agree to provide a safe and accessible location for delivery.
• For Riders: You acknowledge you are an independent contractor, not an employee, agent, or joint venturer of LineItUp. You have sole discretion over when, where, and whether to provide delivery services. You are responsible for your own vehicle, insurance, taxes, and compliance with all applicable laws. The Platform facilitates connecting you with delivery opportunities and provides tools like GPS navigation.
• For Vendors: You are solely responsible for the accuracy of your product listings, inventory, pricing, and the quality/safety of the goods sold. You are responsible for correctly packaging orders for pickup. You grant LineItUp a limited license to display your content and fulfill marketing activities as described in the  Privacy Policy.

4. Payments, Fees, and Refunds

• Payment Processing: All payments are processed through integrated third-party payment gateways. By using the Platform, you agree to their terms.
• Fees: LineItUp charges Users a service fee. Vendors pay a monthly subscription fee or a commission per transaction as per their selected plan. Rider earnings are calculated by the Platform based on completed deliveries and any applicable incentive programs.
• Refunds and Issues: Issues with the quality, accuracy, or receipt of goods must be reported promptly through the Platform. Refunds for unsatisfactory items are handled at the discretion of the selling Vendor, facilitated by LineItUp support.

5. User Conduct and Prohibited Activities

You agree not to use the Platform to:

Violate any law or infringe any third-party rights.Provide false information or impersonate others.Interfere with or disrupt the Platform's security or functionality.Harass, abuse, or harm other users, Riders, or Vendors.Use the Platform to send spam or unauthorized advertising. Attempt to scrape or extract data from the Platform.

6. Intellectual Property

The Platform, including its "look and feel," source code, databases, functionality, design, and all content created by LineItUp (excluding Vendor/User content) are owned by LineItUp or its licensors and are protected by copyright and other intellectual property laws. The "LineItUp" name and logo are trademarks.

As specified in the technical proposal, upon final payment, the custom-developed source code for the application is the intellectual property of the Client (the entity that commissioned the development). The underlying platform technology and brand remain proprietary to the operating entity.

7. Disclaimers and Limitation of Liability

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. WE DO NOT GUARANTEE UNINTERRUPTED, SECURE, OR ERROR-FREE SERVICE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LINEITUP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR DATA, ARISING FROM YOUR USE OF THE PLATFORM.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF ONE HUNDRED DOLLARS ($100) OR THE AMOUNT OF FEES YOU PAID TO LINEITUP IN THE SIX (6) MONTHS PRIOR TO THE EVENT GIVING RISE TO LIABILITY.

8. Indemnification

You agree to indemnify and hold harmless LineItUp, its affiliates, and their officers from any claims, damages, or expenses (including legal fees) arising from: (a) your breach of these Terms; (b) your User/Rider/Vendor Content; (c) your interaction with any other user; or (d) your violation of any law.

11. Dispute Resolution

• Informal Resolution: You agree to first attempt to resolve any dispute informally by contacting us at [email protected].
• Mediation: If unresolved within 15 days, both parties agree to attempt mediation with a mutually agreed-upon mediator.
• Arbitration: If mediation is unsuccessful, the dispute shall be settled by binding arbitration by a single arbitrator in Austin, Texas, under the rules of the American Arbitration Association. YOU ARE GIVING UP THE RIGHT TO LITIGATE IN COURT AND HAVE A JURY TRIAL.
• Court Action: Either party may pursue a claim in court only if a notice of arbitration is not officially scheduled within 90 days of the initial dispute notification. Claims may be brought in the state or federal courts located in Travis County, Texas.

10. Termination

We may suspend or terminate your account and access to the Platform for any breach of these Terms. You may terminate your account at any time via your account settings.

11. General Provisions

• Governing Law: These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles.
• Changes to Terms: We may modify these Terms. We will provide notice via the Platform or email. Continued use after changes constitutes acceptance.
• Entire Agreement: These Terms constitute the entire agreement between you and LineItUp regarding the Platform.
